Terms of Service

These Terms of Service ("Terms") govern your use of Kognaize's platform and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Definitions

  • "Client": Any individual or entity subscribing to Kognaize’s Services.
  • "Agent": AI-powered software solutions provided by Kognaize.
  • "Platform": Kognaize’s online environment enabling the deployment and operation of Agents.

2. Subscription and Usage

Clients subscribe to our Services on a per-user subscription basis. Unless otherwise stated, subscriptions renew automatically until canceled.

3. Acceptable Use

Clients must:

  • Not misuse or disrupt the Services or Platform.
  • Comply with all applicable laws and regulations.
  • Not use Agents to distribute harmful, offensive, or illegal content.

4. Intellectual Property

  • Kognaize retains all rights to intellectual property developed by Kognaize, including the Platform and Agents.
  • Clients retain rights to intellectual property they integrate via supported protocols (such as MCP).

5. Data Privacy and Security

  • Kognaize’s data handling practices are detailed in our Privacy Policy and Data Processing Agreement.
  • Clients are responsible for complying with applicable data protection laws concerning data provided to the Services.

6. Third-Party Integrations

  • Kognaize supports integration with third-party tools. Kognaize is not liable for the performance or compliance of third-party tools.

7. Service Levels

  • Service performance guarantees are described in our Service Level Agreement (SLA).

8. Payment Terms

  • Payments must be made promptly as per the agreed subscription plan. Late payments may result in suspension of Services.

9. Termination

  • Clients may terminate their subscription with prior written notice as per their subscription terms.
  • Kognaize reserves the right to terminate subscriptions for violations of these Terms.

10. Liability

  • To the extent permitted by law, Kognaize’s total liability under these Terms is limited to amounts paid by Client in the twelve months preceding any claim.

11. Modifications to the Terms

  • Kognaize reserves the right to modify these Terms. Clients will be notified of any significant changes.

12. Governing Law

  • These Terms are governed by and construed according to the laws of [Jurisdiction].
